Job Purpose & Summary

The Corporate Secretary acts as a liaison between the Board of Directors and the Executive Leadership Team (ELT), manages all Board, Board Committee, and key Management meeting logistics, and accurately records all meeting minutes ensuring they accurately reflect actions taken during each meeting.  Leveraging information sharing technology, this position will develop and maintain information management systems and processes for the Board and the ELT.  Additionally, this position manages the corporate policy framework and approval process, and is the primary liaison with DUCA’s outside legal counsel.

Key Accountabilities & Duties

  • Act as primary liaison to the Board Chair, Committee Chairs, and ELT regarding governance issues, meeting agenda preparation, Board and Board Committee package preparation and posting to Sharefile, agenda maintenance, and key communications between the ELT and the Board
  • Support the development of the annual calendar of quarterly Board and Committee meetings, board seminars, ad hoc meetings, Annual General meeting (AGM)
  • Attend all Board and Board Committee meetings as well as the AGM to record minutes, highlighting decisions, actions and directives; ensure minutes accurately reflect deliberations, decisions, and next steps, and are approved and distributed in a timely manner
  • Attend key Management meetings including ELT, Management Credit, Pricing, Retail Steering Committee etc., to record minutes, highlighting decisions, actions and directives; ensure minutes accurately reflect decisions and next steps, and are approved and distributed in a timely manner
  • Manage any follow-up actions arising from the Board, Board Committee, and key Management meetings
  • Manage the organization’s policy framework and approval process; ensure policies are developed and presented to Board and Management for review in the approved template; publish new or updated policies, and archive those no longer needed
  • As appropriate, assist with ensuring compliance with legislative or regulatory requirements and the management of selective legal matters affecting DUCA generally, or in connection with its strategic initiatives
  • Act as the primary liaison with outside legal counsel and internal stakeholders as required
  • Develop information management systems and processes; leverage technology to ensure effective organization of information and archive out of date information as needed

Occupational Experience & Education Requirements

  • Post-secondary undergraduate degree in Business, Law, or related field
  • Minimum 5 to 7 years of experience in a similar role
  • Corporate governance experience in a legal, para-legal, or corporate secretary role
  • Experience in the credit union system or financial services an asset
  • Knowledge of the Federal Banking Regulatory environment considered an asset

  • Exceptional organization skills with very strong attention to detail
  • Excellent oral and written communication skills with the ability to convert complex discussions into actionable items in a clear and succinct manner
  • Ability to provide guidance, make decisions, and interact with all stakeholders with tact, strong judgment, discretion, and confidence
  • Demonstrated ability to work efficiently and effectively to meet challenging, conflicting, and tight deadlines
  • Ability to build strong internal and external relationships
  • Ability to maintain discretion with confidential or sensitive information
  • Strong proficiency with all MS Office software, experience in information sharing technology an asset

  • Some irregular hours may be required to attend Board, Management, and other meetings
